GENERAL TERMS AND CONDITIONS – UNITA BUSINESS

These General Terms and Conditions of Sale (GTC) govern the use of the website www.unitabusiness.be as well as all services offered
by UNITA Business Zaventem SRL.

Any order for a service via the website implies full and unconditional acceptance of these general terms and conditions.

UNITA Business offers services including:

  • business domiciliation

  • management of professional mail

  • administrative support

  • coworking and provision of professional spaces.

2. Purpose of the services


UNITA Business provides companies with a professional address allowing the establishment of their registered office within the business center located in Zaventem.

The services offered may include:

  • domiciliation of the registered office

  • receipt of administrative mail

  • management and digitization of mail

  • additional administrative services

  • access to professional spaces.

The specific terms of the services are defined in the Business Address Agreement signed between the parties.

3. Hierarchy of contractual documents


These General Terms and Conditions govern the use of the website and the ordering of services.

In case of contradiction between:

  • these General Terms and Conditions of Sale

  • and the Business Address Agreement signed between UNITA Business and the client

the provisions of Business Address Agreement shall prevail.

4. Legal Compliance


UNITA Business conducts its activities in accordance with the applicable Belgian legislation for service providers to companies.

The services are provided in compliance with, in particular:

  • the Royal Decree of October 11, 2018

  • of the Belgian legislation regarding business address registration

  • the regulations regarding the fight against money laundering.

The address provided by UNITA Business is recognized by the Crossroads Bank for Enterprises (CBE).

5. Eligibility Requirements


The business address services offered by UNITA Business are primarily intended for companies (legal entities).

Business address registration is not intended for individuals.

UNITA Business reserves the right to refuse any domiciliation request, particularly when:

  • the proposed activity is contrary to Belgian or European legislation

  • the information provided is incomplete or inaccurate

  • the activity presents a risk of fraud or money laundering.

The client must, in particular:

  • engage in a legal activity

  • have an active business bank account

  • provide accurate information about their activity.

6. Identity verification and compliance (KYC / AML)


In accordance with the legislation related to the fight against money laundering, UNITA Business conducts identity verification of clients.

The client must provide, in particular:

  • A copy of a valid identity document

  • Company registration documents

  • Information related to the ultimate beneficial owners (UBO)

  • Any information required to verify the business activity 

The service is activated only after full validation of the application file.

UNITA Business may refuse or suspend a service in case of suspicion of illegal activity.

7. Use of the registered address


The address provided by UNITA Business may only be used in the context of the activity declared by the client.

In particular, it is prohibited to:

  • use the address for fraudulent purposes

  • mislead others regarding the company’s actual location

  • to register the address on platforms such as Google Maps or Google My Business without written permission

Any misuse may result in the suspension or termination of the service.

8. Mail management


Depending on the subscribed service, UNITA Business may provide:

  • the receipt of administrative mail

  • receipt of certified mail

  • the scanning of mail

  • the transmission by email

  • secure archiving

UNITA Business cannot be held responsible for delays or losses attributable to postal services.

9. Payment conditions


The applicable rates are indicated:

  • on the website

  • or in the Business Address Agreement.

Unless otherwise specified, invoices are payable within 21 days.

In case of late payment:

  • Unita Business may suspend services

  • late interest may be applied

  • administrative fees may be charged.

In case of prolonged non-payment, the file may be transferred to a collection agency.

Collection fees will be the customer's responsibility.

10. Right of withdrawal


When the client acts as a consumer, they have a 14-day withdrawal period, in accordance with the Economic Law Code.

However, if the client expressly requests immediate activation of the service, they acknowledge that the execution begins before the end of the withdrawal period.

In this case, the client waives their right of withdrawal as soon as the service is fully executed.

11. Service activation


The business address is activated after:

  • complete validation of the file

  • acceptance by UNITA Business

  • signature of the contract

  • receipt of payment.

In most cases, activation occurs within a 24 business hours.

12. Responsability


Unita Business is committed to providing its services with diligence and professionalism.

However, Unita Business’s obligations are obligations of means, not of result.

UNITA Business cannot be held responsible for:

  • indirect damages suffered by the client

  • administrative or tax decisions concerning the company

  • losses related to postal services

13. Electronic proof


The validation of an order on the website via the mechanism of double click constitutes an electronic signature.

This validation has the same legal value as a handwritten signature and constitutes acceptance of these general terms and conditions.

14. Intellectual property


All content on the site www.unitabusiness.be (texts, images, logos, graphic elements, structure) is protected by intellectual property laws.

Any reproduction or use, in whole or in part, without prior written permission from UNITA Business is strictly prohibited.

15. Availability of the website


UNITA Business makes every effort to ensure the proper functioning of the website.

However, UNITA Business cannot be held responsible for damages resulting from:

  • a temporary interruption of the site for maintenance

  • a technical problem beyond its control

  • a malfunction of the internet network.

16. Modification of the general terms and conditions


UNITA Business reserves the right to modify these general terms and conditions at any time.

The new general terms and conditions will apply to any order placed after their publication on the website.

17. Data Protection – GDPR


Unita Business processes personal data in compliance with the General Data Protection Regulation (GDPR).

The data is used solely for:

  • the management of services

  • legal obligations

  • administrative management.

The data is processed in a confidential and secure manner.

18. Complaints


Any complaint must be addressed in writing to UNITA Business within a reasonable time after the service in question.

UNITA Business is committed to reviewing any request as soon as possible.

19. Applicable law and competent jurisdiction


These Terms and Conditions are governed exclusively by Belgian law.

In case of dispute, the competent courts are those of the judicial district of Brussels.
